We are registered in Scotland under the company number SC457465 and our registered charity number is SC045492. Our registered office is at CodeBase Argyll House, 3 Lady Lawson Street, Edinburgh, EH3 9DR.

      These terms of use (together with the documents referred to in it) tell you the terms of use on which you may make use of our site whether as a guest or a registered user. Use of our site includes accessing, browsing, or registering to use our site.
      Please read these terms of use carefully before you start to use our site, as these will apply to your use of our site. We recommend that you print a copy of these terms of use for future reference.
      By using our site, you confirm that you accept these terms of use and that you agree to comply with them.
      If you do not agree to these terms of use, you must not use our site.

      These terms of use refer to the following additional terms, which also apply to your use of our site:

    5. CHANGES AND UPDATES TO OUR SITE
      We may update our site from time to time, and may change the content at any time. Although we make reasonable efforts to update the information on our site (except for content generated by users of our site which shall not be updated by us), we make no representations, warranties or guarantees, whether express or implied, that the content on our site is free from errors or omissions, accurate, complete or up-to-date and we are under no obligation to update it.
    6. ACCESSING OUR SITE
      We do not guarantee that our site, or any content on it, will always be available or that access to it will be uninterrupted. Access to our site is permitted on a temporary basis. We may suspend, withdraw, discontinue or change all or any part of our site without notice. We will not be liable to you if for any reason our site is unavailable at any time or for any period.
      You are responsible for making all arrangements necessary for you to have access to our site.
      You are also responsible for ensuring that all persons who access our site through your internet connection are aware of these terms of use and other applicable terms and conditions, and that they comply with them.
    7. INFORMATION SUBMITTED TO OUR SITE
      Whenever you make use of a feature that allows you to post or upload content to our site or on our page on any social media platform we use (for example, Facebook, X (formerly Twitter) and Instagram), whether venue reviews, questions, comments, suggestions, forum posts, photographs or the like (collectively, "Submissions"), you warrant that you are the owner of your Submissions (including any copyright, database right, trademark or other intellectual property right in the Submissions) and you grant us a non-exclusive, perpetual, royalty-free, transferable and irrevocable licence to: (i) use, reproduce, modify, adapt, distribute, publish, create derivative works from and publicly display such Submissions throughout the world on our site, on any social media platforms used by us and in any other media which is, or may in future, be available; and (ii) in reproducing any part of your Submissions, use the user name under which you submit your Submissions. The terms of the licence expressly grants us a right of action in respect of the Submissions enabling us to enforce such rights and pursue such remedies as if we were the copyright owner pursuant to section 101A(b)(ii) of the Copyright Designs and Patent Act 1988.
      Whilst we have no responsibility for the content of Submissions, we reserve the right, to remove or edit any Submission at any time in accordance with paragraph 8.
    8. CONTENT GUIDELINES AND PROTECTION FROM ILLEGAL CONTENT
      These content guidelines apply to all Submissions.
      You must comply with the spirit of the following guidelines as well as the letter. The guidelines apply to each part of any Submission as well as to its whole.
      Submissions and their content must:
      • Be accurate (where they state facts);
      • Be genuinely held (where they state opinions);
      • Comply with applicable law in the UK and in any country from which they are posted; and
      • Contain or relate to disabled access / accessibility information.
      Submissions and their content must not:
      • Contain any material which is defamatory of any person;
      • Contain any material which is obscene, offensive, hateful or inflammatory;
      • Contain sexually explicit material, including child sexual exploitation and abuse;
      • Contain or promote violence, including terrorism;
      • Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
      • Infringe any copyright, database right, trademark or other intellectual property right of any other person;
      • Be likely to deceive any person;
      • Be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence;
      • Advocate, contain, assist or promote any illegal activity, including but not limited to content relating to: assisting suicide, threats to kill, public order offences, harassment, stalking and fear or provocation of violence, drugs and psychoactive substances, firearms and other weapons, assisting illegal immigration, human trafficking, sexual exploitation, sexual images, proceeds of crime, fraud, financial services, foreign interference, animal welfare and offences relating to being involved in committing any of these offences (together "Offences");
      • Be threatening, abusive or invade another’s privacy, or cause annoyance, inconvenience or needless anxiety;
      • Be likely to harass, upset, embarrass, alarm or annoy any other person;
      • Be used to impersonate any person, or to misrepresent your identity or affiliation with any person;
      • Contain controlling or coercive behaviour; or
      • Give the impression that they emanate from us, if this is not the case.
      Whenever you make use of a feature that allows you to upload content to our site, or to make contact with other users of our site, you must comply with these content guidelines.
      You warrant that every Submission made by you does comply with these guidelines, and you will be liable to us and indemnify us for any breach of that warranty. If you are a consumer user, this means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.
      All submissions to our site will be considered non-confidential and non-proprietary.
      We have the right to remove any Submission you make to our site, without explanation, if, in our opinion, your Submission does not comply with the content guidelines set out above or if we are asked to remove your Submission and, in our opinion, such request is reasonable.
      The views expressed by other users on our site do not necessarily represent our views or values.
      If you believe a Submission is defamatory, illegal, harmful, misleading, contains false content, not compliant with the content guidelines as set out in paragraph 8 or infringes any copyright or other intellectual property right, please contact us as set out in paragraph 10 below.
    9. NO RELIANCE ON THE CONTENT OF OUR SITE
      The content of our site is provided for general information purposes only and whilst we hope you find it useful, the content of our site should not be taken as an endorsement by us of any particular venue, location or destination and should not be relied upon by you in making any decisions.
      We are unable to verify the accuracy of Submissions made to our site or the identity of those persons who make such Submissions. We do not verify or endorse the content of any Submissions on our site and users are solely responsible for the content of the Submissions they post.
    10. COMPLAINTS ABOUT SUBMISSIONS
      If you have a complaint:
      • About the content of any Submission;
      • Where you think we are not dealing with Illegal Submissions as we should;
      • Where you think we have insufficiently considered the importance of protecting users' rights to freedom of expression or privacy;
      • Where you think our Submissions reporting systems and processes do not easily let users report Submissions they believe to be illegal;
      • Where your Submission has been taken down on the basis that it is illegal; or
      • Where we have given you a warning, suspended, banned or restricted you in any way as a result of your Submission which we consider to be illegal content;

      Venues, locations and destinations have the ability to post a response to a Submission on our site underneath the relevant Submission. If you remain unhappy about a Submission please contact hello@euansguide.com and we will review it. We will take down Submissions that we feel do not meet our content guidelines as set out in paragraph 8 of these terms of use above.
    11. YOUR ACCOUNT AND PASSWORD
      If you choose, or you are provided with, a user name, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.
      We have the right to disable any user name or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of use.
      If you know or suspect that anyone other than you knows your user name or password, you must promptly notify us at hello@euansguide.com.
    12. INTELLECTUAL PROPERTY RIGHTS IN OUR SITE
      We are the owner or the licensee of all intellectual property rights in our site, and in the material published on it (including, but not limited to, any information, data, text, graphics, photos, audio, videos or other materials or arrangements of materials that you can view on, access or otherwise interact with on our site). Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
      You may print off one copy, and may download extracts, of any page(s) from our site for your personal use. There are no restrictions on printing and downloading your own Submissions, which you are free to print and download as often as you wish.
      You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.
      Our status (and that of any identified contributors) as the authors of content on our site must always be acknowledged.
      You must not use any part of the content on our site for commercial purposes without obtaining a licence to do so from us or our licensors.
      If you print off, copy or download any part of our site in breach of these terms of use, your right to use our site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.
    13. LIMITATION OF OUR LIABILITY
      Nothing in these terms of use excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.
      To the extent permitted by applicable law, we exclude all conditions, warranties, representations or other terms which may apply to our site or any content on it, whether express or implied.
      We will not be responsible, or liable to any person, for the content or accuracy of any Submissions or for any mistakes, defamation, slander, libel, omissions, inaccuracies, obscenity or profanity you encounter whilst using our site.
      We will not be liable to any user for any loss or damage, whether in contract, tort or delict (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
      • use of, or inability to use, our site; or
      • use of or reliance on any content displayed on our site.
      If you are a business user, please note that in particular, we will not be liable for:
      • loss of profits, sales, business, or revenue;
      • business interruption;
      • loss of anticipated savings;
      • loss of business opportunity, goodwill or reputation; or
      • any indirect or consequential loss or damage.
      If you are a consumer user, please note that we only provide our site for domestic and private use. You agree not to use our site for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
      We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our site or to your downloading of any content on it, or on any website linked to it.
    14. VIRUSES
      We do not guarantee that our site will be secure or free from bugs or viruses.
      You are responsible for configuring your information technology, computer programmes and platform in order to access our site. You should use your own virus protection software.
      You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.
    15. LINKING TO OUR SITE
      Subject to the provisions of this paragraph 15, you may link any website to our home page, provided you do so in a way that is fair and legal and does not adversely impact our site or damage our reputation or take advantage of it.
      You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.
      Our site must not be framed on any other site, nor may you create a link to any part of our site other than the home page.
      We reserve the right to withdraw linking permission without notice.
      The website which you link to our site must comply in all respects with the content guidelines as set out in paragraph 8 of these terms of use above.

    16. DATA MINING AND WEB SCRAPING
      You shall not conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to our site or any services provided via, or in relation to, our site for any purpose, including the development, training, fine-tuning or validation of AI systems or models. This includes using (or permitting, authorising or attempting the use of):
      • Any "robot", "bot", "spider", "scraper" or other automated device, program, tool, algorithm, code, process or methodology to access, obtain, copy, monitor or republish any portion of our site or any data, content, information or services accessed via the same; or
      • Any automated analytical technique aimed at analysing text and data in digital form to generate information or develop, train, fine-tune or validate AI systems or models which includes but is not limited to patterns, trends and correlations.
      The provisions in this paragraph 16 should be treated as an express reservation of our rights in this regard, including for the purposes of Article 4(3) of the Digital Copyright Directive ((EU) 2019/790).
      You shall not use, and we do not consent to the use of, our site, or any data published by, or contained in, or accessible via, our site for any other purposes not explicitly set out in these terms of use.
      This paragraph 16 will not apply insofar as (but only to the extent that) we are unable to exclude or limit text or data mining or web scraping activity under applicable laws.
    17. THIRD PARTY LINKS AND RESOURCES IN OUR SITE
      Our site is made available free of charge. However, our site may link to websites provided by third parties who are independent of us and over whom we have no control. Such third parties may charge for the products or services available on their website and so you should carry out such investigations as you consider to be necessary or appropriate before entering into any agreement with such third parties.
      Where our site contains links to other websites and resources provided by third parties, these links are provided for your information only.
      We have no control over the contents of those sites or resources and accept no responsibility for any loss or damage that may arise from your use of them. We do not endorse or make any warranties or representations about the other websites or any information, software or other products or materials found there, or any results that may be obtained from using them. Please be aware that the privacy policies applicable to those other websites may be different from the Data Protection and Privacy Policy and/or Cookie Policy applicable to our site.
    18. SUSPENSION AND TERMINATION
      We will determine, in our sole discretion, whether there has been a breach of these terms of use by you and, in such cases, we may take such action as we deem appropriate, including without limitation:
      • Withdrawal of your right to use our site;
      • Legal proceedings or legal action against you; and/or
      • Disclosure of such information to law enforcement authorities as we reasonably feel is necessary.
      We exclude liability for actions taken in response to breaches of these terms of use.
      If we suspend or ban you from using our service, or if we restrict access to any Submissions you generate or upload to or share on our site, in either case in a way that breaches these terms of use, you have a right to bring a claim against us.
    19. APPLICABLE LAW
      If you are a consumer, please note that any dispute or claim (including any non-contractual disputes or claims) arising out of or in connection with these terms of use, its subject matter and its formation, are governed by the laws of Scotland. You and we both agree that the courts of Scotland will have non-exclusive jurisdiction to settle any dispute or claim (including any non-contractual disputes or claims) arising out of or in connection with these terms of use or its subject matter or formation.
      However, if you are a resident of Northern Ireland you may also bring proceedings in the courts of Northern Ireland, and if you are a resident of England and Wales, you may also bring proceedings in the courts of England and Wales.
      If you are a business you and we both irrevocably agree that any dispute or claim (including any non-contractual disputes or claims) arising out of or in connection with these terms of use, its subject matter and its formation shall be governed by and in accordance with Scots law. You and we both irrevocably agree to the exclusive jurisdiction of the courts of Scotland to settle any dispute or claim (including any non-contractual disputes or claims) arising out of or in connection with these terms of use or its subject matter or formation.
